These Terms and Conditions govern your access to and use of the Conzo Africa Platform. By using our services, you agree to be bound by these Terms in their entirety.

1. Agreement to Terms

Welcome to Conzo. These Terms and Conditions ("Terms") govern your access to and use of the Conzo Africa, including our website, mobile applications, and any related services provided by Conzo Africa Limited ("Conzo", "we", "our", or "us").

Conzo provides a digital platform that enables users to buy and sell supported crypto assets, trade gift cards, and convert digital balances into local currency through a secure and user-friendly system.

By accessing, downloading, registering, or using our Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease using the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform following notification of any changes constitutes your acceptance of the revised Terms.

2. Eligibility

To use the Conzo Africa Platform, you must:

  • Be at least 18 years of age, or the age of majority in your jurisdiction if older
  • Have the legal capacity to enter into a binding agreement
  • Not be a resident of, or located in, any jurisdiction where use of our Services is prohibited by applicable law
  • Not be listed on any government-issued sanctions, terrorism, or prohibited persons list
  • Provide accurate, complete, and up-to-date information during registration and maintain such accuracy throughout your use of the Platform

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you do not meet these requirements.

3. Account Registration & Security

3.1 Your Account Creation Process

To access the full range of Services offered on the Conzo Africa Platform, you must create an Account. The Account creation process includes the following steps:

a. Information Submission: You agree to provide accurate, current, and complete information during the registration process. This may include, but is not limited to:

  • Full legal name
  • Date of birth
  • Email address
  • Phone number

b. Verification: You agree to verify your email address and phone number as part of the registration process.

c. Password Creation: You will be required to create a strong, unique password for your Account. We recommend using a combination of uppercase and lowercase letters, numbers, and symbols.

d. Terms Acceptance: You must explicitly agree to these Terms of Service, our Privacy Policy, and any other applicable policies.

e. KYC Verification: Depending on your location and the Services you wish to access, you may be required to complete our Know Your Customer (KYC) verification process immediately upon registration or at a later stage.

You are responsible for keeping your Account information up to date. Failure to maintain accurate, current, and complete Account information may result in your inability to access or use our Platform or the termination of your Account.

3.2 Know Your Customer (KYC) and Identity Verification

As a financial services provider, Conzo Africa is committed to preventing fraud, money laundering, terrorist financing, and other financial crimes. To this end, we implement robust Know Your Customer (KYC) and identity verification procedures.

Depending on your location, the services you use, and the volume of your transactions, you may be required to provide the following:

a. Your Bank Verification Number (BVN).

b. Your local fiat account details.

c. Any other additional documentation to verify your source of funds.

We may implement different verification levels with varying requirements and transaction limits. Higher verification levels may require more extensive documentation and checks. We reserve the right to request updated or additional KYC information at any time during your use of our Platform.

We may use third-party service providers to verify your identity and conduct background checks. By using our Platform, you authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crimes.

We reserve the right to refuse service, suspend or terminate Accounts, or limit access to our Platform for users who do not complete our KYC and identity verification process to our satisfaction.

We treat all information collected during the KYC process with the utmost confidentiality and in accordance with our Privacy Policy.

3.3 Your Account Security Responsibilities

The security of your Conzo Africa Account is crucial, and you play a vital role in maintaining this security. By creating an Account, you agree to the following security responsibilities:

a. Password Confidentiality: You are responsible for maintaining the confidentiality of your Account password. We recommend the following best practices:

  • Use a unique password for your Conzo Africa Account
  • Include a mix of uppercase and lowercase letters, numbers, and symbols
  • Avoid using easily guessable information such as birthdays or names
  • Change your password regularly, at least once every three months

b. Device and Session Security: You can ensure device and session security by:

  • Always logging out of your Account when using a shared or public device
  • Never sharing your Account credentials with anyone
  • Being cautious when accessing your Account on public Wi-Fi networks

c. Phishing Awareness: You must be alert to phishing attempts. Conzo Africa will never ask for your password via email, phone, or any other means outside of our official Platform.

d. Unauthorized Access Reporting: You must notify us immediately if you suspect any unauthorized access to your Account or any other breach of security. You can contact us at support@conzo.africa or through our dedicated support channels.

e. Activity Monitoring: You must regularly review your Account activity and transaction history and report any suspicious transactions to us immediately.

f. Software Updates: You are to keep your devices and software up to date with the latest security patches and updates.

g. Wallet Address Management: You are to manage the Wallet Addresses associated with your Account with utmost care and not share them with unauthorized parties.

You acknowledge that Conzo Africa will not be responsible for any loss or damage arising from your failure to comply with these security responsibilities. We reserve the right to suspend or terminate Accounts that we believe have been compromised or are being used in a manner that violates these Terms or poses a security risk.

4. Cryptocurrency Trading Services

4.1 Supported Assets

Conzo Africa facilitates the buying, selling, and holding of cryptocurrencies including but not limited to Bitcoin (BTC), Ethereum (ETH), Tether (USDT), USD Coin (USDC), BNB, and other digital assets as made available on the Platform from time to time.

4.2 Market Risk Disclosure

IMPORTANT: Cryptocurrency trading involves substantial risk of loss. Digital asset prices are highly volatile and may fluctuate significantly over short periods. Past performance is not indicative of future results. You acknowledge that:

  • You may lose some or all of your invested capital
  • The value of digital assets can decrease to zero
  • Regulatory changes may affect the availability or value of digital assets
  • Conzo Africa does not provide investment advice or financial recommendations

4.3 Transaction Execution

All cryptocurrency transactions executed on the Platform are final and irreversible once confirmed on the blockchain. You are responsible for verifying all transaction details, including wallet addresses, amounts, and asset types, before confirming any transaction. Conzo Africa cannot reverse, cancel, or recover funds sent to an incorrect address.

4.4 Fees

Conzo Africa charges fees for certain transactions and services. Current fee schedules are displayed within the Platform at the time of each transaction. We reserve the right to modify our fee structure at any time with reasonable notice to users.

5. Gift Card Services

5.1 Buying Gift Cards

Conzo Africa provides a marketplace for the purchase of gift cards from participating brands and retailers. All gift card purchases are subject to availability. Gift card values are denominated in the stated currency at the time of purchase.

5.2 Selling Gift Cards

Users may list gift cards for sale on the Platform, subject to our verification procedures. You represent and warrant that any gift card you list for sale is legitimate, fully funded, has not been used, and is free from any encumbrances or restrictions on transfer. Fraudulent, stolen, or invalid gift cards will result in immediate account suspension and may be reported to law enforcement.

5.3 Gift Card Disclaimer

Conzo Africa is not the issuer of any gift cards available on the Platform and is not responsible for the policies or practices of gift card issuers. Conzo Africa does not guarantee the continued availability, validity, or redemption terms of any third-party gift card.

6. Bill Payment Services

Conzo Africa facilitates bill payments to third-party service providers on your behalf. You acknowledge that:

  • Conzo Africa is a payment intermediary and not the service provider or biller
  • Processing times may vary depending on the biller and payment method
  • You are responsible for providing accurate billing information including account numbers and payment amounts
  • Conzo Africa is not liable for service interruptions or errors caused by third-party billers
  • Payments are generally non-refundable once processed and delivered to the biller

7. Prohibited Activities

You agree not to use the Platform for any unlawful, fraudulent, or prohibited purpose. Prohibited activities include, but are not limited to:

  • Money laundering, terrorist financing, or any other illegal financial activity
  • Providing false or misleading information during registration or KYC verification
  • Using the Platform to facilitate or conceal proceeds of crime
  • Hacking, unauthorized access, or attempting to breach our security systems
  • Creating multiple accounts to circumvent restrictions or bans
  • Using automated bots or scrapers to access the Platform without authorization
  • Engaging in market manipulation or wash trading
  • Listing stolen, fraudulent, or invalid gift cards for sale
  • Violating any applicable local, national, or international laws or regulations

Violation of any prohibited activity may result in immediate account suspension, asset freezing, and/or reporting to the relevant authorities.

8. Intellectual Property

All content on the Conzo Africa Platform, including but not limited to logos, trademarks, trade names, text, graphics, user interface designs, software, and code, is the exclusive intellectual property of Conzo Africa or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any content on the Platform without our express written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONZO AFRICA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF DIGITAL ASSETS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CONZO AFRICA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CONZO AFRICA IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Conzo Africa, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

11. Termination

Conzo Africa reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraudulent activity, or regulatory requirements.

Upon termination, your right to use the Platform will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or related to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

13. How We Manage Your Data

Protecting your personal data is a key aspect of our relationship with you and is required of us by the relevant Data Protection Regulation. Whenever you use our Platform, you consent to the collection, storage, transfer, and use of your personal data as described in our Privacy Policy. This includes any information you choose to provide that is deemed sensitive under applicable laws and regulations.

Please review our Privacy Notice in order to better understand our commitment to maintaining your privacy and protecting your data, as well as the terms on which we process any personal information that we collect from you or that you provide to us. By using the Platform, you agree to the Privacy Notice and consent to the processing of any personal data described in the Privacy Notice and you warrant that all data that you provide to us is accurate.

14. Service Interruptions

As a condition to accessing or using the Platform or the Services, you acknowledge, understand, and agree that from time to time, the Platform may be inaccessible or inoperable for any reason, including equipment malfunctions, periodic maintenance procedures or repairs, causes beyond our control or that we could not reasonably foresee, disruptions and temporary or permanent unavailability of underlying blockchain infrastructure or unavailability of third-party service providers or external partners for any reason.

Our platform is built to watch your wallet address for any incoming cryptocurrency deposit. However, in some cases, the exchange or platform you send the cryptocurrency from may not broadcast the transaction well enough in the blockchain for our infrastructure to pick it up. In such a situation, our Platform may miss the transaction. You are required to use the Redeem Feature on the mobile application to query for such missing transactions. We will endeavor to pay out all missing funds as soon as we verify the value of the cryptocurrency sent, your wallet address and the transaction hash.
